LISTING AGREEMENT
The following Featured Listing Agreement forms part of each Company's Agreement with Red Pill Email, and govern each Company's Featured Listing on the Cliffview Pilot (http://CliffviewPilot.com) Vendor Review site:
1. Definitions. For the purposes of this Agreement, "Featured Listing" means a tiled listing in one of four available positions of the leading vendor content area on top-level category and subcategory pages on the Cliffview Pilot website; and listing above all other vendors under their subcategory.
2. Placement. Company acknowledges that their featured listing will be guaranteed placement of their Featured Listing in one of four premium positions of the leading vendor content area on the Home page, top-level category, subcategory pages, and link-level listing throughout the term of this agreement.
3. Initial Term. Unless otherwise established in writing, all Agreements will be for an initial term of twelve (12) months from the date of this agreement. This Agreement will guarantee first right of refusal for Featured Listings in subsequent years.
4. Payment Terms. Unless otherwise agreed by the parties, the amount owed for a listing shall be paid in full before each term begins.
5. Terms and Conditions.
a. Terms of Payment. As stated: Unless otherwise agreed by the parties, the amount owed for a listing shall be paid in full before each term begins.
b. Warranty and Limitation of Liability. Subject to the terms of this paragraph and paragraphs c. and d. of these Terms and Conditions, we warrant that your Featured Listing will appear on the Cliffview Pilot website in the position and during the period we have agreed. These are our only representations or warranties, express or implied. ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE EXPRESSLY DISCLAIMED.
If, at any time, you believe that we have breached any warranty or any other contractual provision, you must promptly notify us of that breach. Upon receiving that notification, we will either correct the problem or refund to you the amount paid by you in connection with the deficient service. In no event will our liability to you exceed the amount paid by you to us for the complained-of services. We will not be liable for any incidental, consequential, or punitive damages arising from, or related to this Agreement or the services we provide to you, regardless of whether we have been advised of the possibilities of such damages.
c. Listing Content. We reserve the right to remove from CliffviewPilot.com any reviews we believe to be indecent, unethical, or unreasonably offensive. This agreement does not provide Company with editorial oversight or influence. We reserve the right to change the manner in which your Featured Listing is displayed on the Website, including, but not limited to size, color, and layout. Positioning of Featured Listings is guaranteed above the leading vendor content area on the Home page, top-level category, and subcategory pages.
d. Force Majeure. We will not be responsible for any failure to perform under this Agreement which is due to causes beyond our control, including, without limitation, problems with the Internet or any connections thereto, hardware or software problems, telecommunications failure, computer virus, third-party interference, network failure, wars, civil disobedience, Court order, legislative or regulatory action, catastrophic weather conditions, power or utility failure, or acts of God.
e. Forum Selection. This Agreement is deemed to have been made in the State of California and will be construed and governed in accordance with California law. Each party agrees to exclusively use the Courts of the State of California to resolve any dispute arising from or relating to this Agreement or to any services provided pursuant to this Agreement. Each party consents to the jurisdiction of California Courts.
f. Termination. If either party commits a material breach of its obligations hereunder that is not cured within five (5) business days after notice of that breach, the non-breaching party shall be entitled to cancel this Agreement and pursue whatever remedies are available to it by law. Those remedies include removal of your Featured Listing from the Cliffview Pilot website and forfeiture of First Right of Refusal. The remedies available to a non-breaching party are cumulative.
6. Non-Assignability. Our Agreement is made specifically with you. Unless we agree you cannot assign or covey to someone else your right for Featured Listing placement on the Cliffview Pilot website. Neither can you assign or convey to someone else the obligation to pay for the Featured Listing you have placed.
7. Notices. If under this Agreement, one party desires to give notice to the other, such notice shall be in writing and shall be effective upon receipt. Delivery may be by hand, by United States mail, or by email. In the case of delivery by United States Mail, notice will be presumed to have been received two (2) business days after the date the notice was placed in the mail postage pre-paid and properly addressed to the other party. In the case of an emailed notice, notice will be presumed to have been received one (1) business day after the date on which the notice was sent, so long as a confirmation copy is also mailed to the other party.
8. Entire Agreement. The Agreement constitutes the entire understanding between both parties with respect to its subject matter. Any other discussions we have had about your Featured Listing on the Cliffview Pilot website are incorporated into this Agreement. No amendment, modification, or supplementation to this Agreement will be enforceable unless it is contained in writing that both of us sign.
